ADT Announces Acquisition Of Dataline Visual Link For $A7 Million.

ADT Announces Acquisition – Intelligent Monitoring Group, through its subsidiary ADT, has announced the acquisition of Dataline Visual Link.

ADT will pay $A7 million for Dataline Visual Link, comprising $A5 million cash and $2 million in deferred IMG shares, subject to customary adjustments for working capital, cash, and debt amounts on completion.

Western Australia-based DVL integrates, services and maintains access control, detection, video surveillance, alarm monitoring and communications solutions, including SCADA and telemetry, for a wide range of customers. The DVL team specialises in complex security and technological challenges, particularly in remote and sensitive environments.

The acquisition is expected to be immediately EPS accretive and is anticipated to generate FY24 proforma EBITDA of $1.9m, representing an EV/EBITDA acquisition multiple of 3.7x. It further expands the ADT business, which monitors 50,000 lines across Australia, into electronic security integration.

“The acquisition, through IMG subsidiary, ADT Security Group, will strategically expand IMG’s operating footprint in WA, strengthening our national platform for the business in commercial and enterprise,” said IMG’s managing director, Dennison Hambling.

Completion of the acquisition is conditional upon IMG receiving formal approval from its financiers, as well as certain other customary conditions in ADT’s favour. Subject to satisfaction of these conditions, IMG is targeting completion of the acquisition to occur prior to 30 November 2024.

Additionally, IMG has commenced negotiations/discussions, to acquire several other targeted operations across Australia and New Zealand. These acquisitions, should they complete, have the potential to contribute additional EBITDA on a run-rate basis, which IMG has already suggested will be above $38m without acquisition contributions.
